Terms of Service

These terms are an agreement between [Legal entity name] (company number [Company number], registered office [Registered office address]) ("we", "us") and the business that creates an organisation on PAT Control ("you", "the customer"). By creating an organisation, the person doing so confirms they are authorised to accept these terms for that business.

PAT Control is for businesses. It is not offered to consumers.

1. The service

1.1 PAT Control is a hosted service for managing portable appliance testing: importing results from test instruments, keeping an asset register, producing certificates and registers, managing retests, invoicing and related features ("the Service").

1.2 We may improve and change the Service. We will not materially reduce the core features you pay for during a paid period without telling you at least 30 days in advance.

1.3 The Service is a record-keeping and administration tool. It does not test equipment, and it does not replace the competence, judgement and legal duties of the people who carry out and sign off inspections and tests. You are responsible for the accuracy of the results you record or import, and for the decisions you take on them.

2. Accounts and users

2.1 You must give accurate information when you sign up and keep it up to date.

2.2 You decide who in your organisation has access and which role they have. You are responsible for everything done under your users' accounts. Users must keep their sign-in details and second factors secure, and must tell us promptly about any unauthorised use.

2.3 Staff accounts must use two-step verification.

3. Trial, subscription and payment

3.1 New organisations start with a free trial. We show its length when you sign up. When the trial ends without a subscription, the organisation becomes read-only. You can still view and download your records, but you cannot add or change them until you subscribe.

3.2 Subscriptions are charged per seat. A seat is a user with an owner, administrator, office or engineer role. Client portal users do not need a seat. Prices are shown on our pricing page and at checkout, and they exclude VAT unless stated.

3.3 Payment is taken in advance for each billing period by our payment processor, Stripe. When you add seats during a period, a pro-rata charge is made. When you remove seats, the change takes effect from the next period.

3.4 If a payment fails, we will tell you and retry it. If it is still unpaid 14 days after the due date, we may make the organisation read-only until payment is made.

3.5 We may change prices with at least 30 days' notice, effective from your next billing period. If you don't agree, you may cancel before the change takes effect.

4. Your data

4.1 You own the data you put into the Service ("Customer Data"). You give us the rights we need to host, process and display it in order to provide the Service.

4.2 Where Customer Data includes personal data, we process it as your processor under our Data Processing Agreement, which forms part of these terms.

4.3 You must have the right to give us Customer Data, including any personal data of your clients and staff.

4.4 Test records are kept as evidence. Within the Service, they can be voided with a reason but cannot be edited or deleted.

4.5 You can export your records at any time while your organisation is active or read-only. After you close your account, we keep Customer Data for 90 days, so it can be exported or the account reactivated, then delete it. The exceptions are anything we must keep by law, and backups, which expire on their normal cycle.

5. Acceptable use

You must not:

  • use the Service unlawfully, or to store content you have no right to store;
  • try to access another organisation's data, probe, scan or test the Service's security without our written permission, or interfere with its operation;
  • upload malicious files;
  • resell the Service, or use it to build a competing product.

We may suspend access that puts the Service or other customers at risk. We will tell you why, unless the law prevents us.

6. Availability and support

6.1 We aim to keep the Service available at all times apart from planned maintenance, which we will try to schedule outside UK working hours. We do not guarantee uninterrupted availability.

6.2 Support is available by email at support@patcontrol.co.uk during UK working hours.

7. Confidentiality and security

Each party will keep the other's confidential information confidential. We protect Customer Data as described in the Data Processing Agreement. This includes encryption in transit, row-level separation between organisations, UK hosting, and backups.

8. Liability

8.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

8.2 Neither party is liable for loss of profits, revenue, business or goodwill, or for any indirect or consequential loss.

8.3 Each party's total liability under these terms in any 12-month period is limited to the fees paid or payable by you in that period.

8.4 We are not liable for decisions taken on the basis of test results recorded or imported by you, or for the safety of equipment you test.

9. Ending the agreement

9.1 You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where the law requires.

9.2 Either party may end the agreement immediately by notice if the other materially breaches it and does not fix the breach within 30 days of being asked to.

9.3 Clause 4.5 on access to data, and clauses 7, 8 and 10, continue after the agreement ends.

10. General

10.1 We may update these terms. We will give at least 30 days' notice of material changes, and owners will be asked to accept the new version.

10.2 Neither party may transfer the agreement without the other's consent, except as part of a sale of all or most of its business.

10.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
